VerifiedHive CRM
Terms of Service
These terms govern your use of VerifiedHive CRM (“the App”), a Shopify application operated by VerifiedHive. By installing the App you agree to them. If you are agreeing on behalf of a company, you confirm you are authorised to bind it.
1. What the App does
The App gives a Shopify merchant one place to turn enquiries into paid, shipped B2B orders: storefront forms, leads with follow-ups, new companies that wait for your approval and are then kept as Shopify B2B companies (with their locations and people), and orders built on one page, with optional mockups for each item, sent to the customer for approval, then placed, paid and shipped in Shopify. On the buying side, it handles vendor applications and the purchase orders you send your vendors to confirm online. Lessons and how-to videos in the App show each part. It is a tool for managing your own commercial relationships. It is not a payment processor, a legal or tax adviser, a freight broker, or a system of record for your accounts.
An order your customer approves is placed in your Shopify store, and its totals, tax and payment terms are Shopify’s. The App does not take the money. A card payment happens in your own Shopify checkout, under Shopify’s terms, and anything paid another way (a transfer, a check, cash) happens between you and your customer, outside the App. A payment you record in the App is a note of money you received, which the App marks on the Shopify order, not a transaction we processed, and we never see or hold card numbers, bank account details or any other payment credential.
Tax and shipping are your choices. On each order you choose how tax is charged: calculated by Shopify from your store’s tax settings, charged at a rate you enter, or not charged. Which one you choose, the rate you enter, what you mark as tax exempt and your store’s tax settings are your decision and your responsibility, and so is reporting and paying the tax you collect. The same goes for the shipping charges and handling fees you set. When an order ships on your customer’s own carrier account or with their own shipping company, the arrangement and the charges between them and that carrier are theirs; the App records the details you enter.
2. Your account and your responsibilities
- You are responsible for what your forms ask for. If you configure a form to collect sensitive information, you are responsible for having a lawful basis to collect it and for telling the shopper what you will do with it.
- You are responsible for your own privacy policy, and for answering the data subject requests of your own customers. The App helps you act on them; it does not answer them for you.
- You are responsible for how your staff, and anyone else with access to your Shopify admin, use the App.
- You must keep your Shopify account secure. Access to the App follows access to your Shopify admin.
- You decide which companies and vendors to approve. The App records an approval or a confirmation (a buyer approving an order, a vendor confirming a purchase order) as the name and details that person typed on their page, with the date and time; it does not verify anyone’s identity. Turn on the access code for a page, and use your own checks, where you need more.
- A purchase order you send is between you and your vendor. The App delivers it, and records the vendor’s reply and what you receive, but is not a party to it.
3. Acceptable use
You agree not to use the App to:
- break the law, or infringe anyone’s rights;
- send unsolicited bulk messages, or collect contact details for the purpose of sending them;
- collect payment card numbers, government identification numbers, health records or other special-category data through a form;
- probe, scan, overload or attempt to gain unauthorised access to the App or the infrastructure it runs on;
- resell or white-label the App without a written agreement.
We may suspend an account that is doing any of these, and will tell you why.
4. Fees, trial and billing
The App is billed by Shopify, through Shopify App Pricing: Shopify hosts the plan page, sets the trial, takes your choice and creates the subscription. Charges appear on your regular Shopify invoice, and Shopify, not us, collects the money. We never see or store your payment details, and we will never ask you to pay through an external link.
New installs get a 7-day free trial with full access. Trials, billing dates and proration are managed by Shopify under its own terms; the App reads your subscription status from Shopify and does not alter it. Current plans:
| Plan | Price | Billed |
|---|---|---|
| VerifiedHive CRM, monthly | $29 USD | Every 30 days |
| VerifiedHive CRM, yearly | $279 USD | Annually |
Subscriptions renew automatically until cancelled. You can cancel at any time from the App’s Plan page, which takes you to Shopify’s own plan page where the subscription lives, or by uninstalling the App; access continues to the end of the period you have paid for. Because Shopify handles collection, refunds follow Shopify’s policies. Contact us at verifiedhive.us@gmail.com and we will raise it with them on your behalf. We may change prices with at least 30 days’ notice, and a price change never applies to a period already paid.
5. Your data
The data you and your customers put into the App remains yours. We claim no ownership of it and use it only to provide the App to you. Our handling of it is described in the Privacy Policy, which forms part of these terms.
You can export your data at any time while the App is installed, as CSV files (leads with their answers, companies, orders, vendors and purchase orders) from Settings under “Data”, and from the Plan page, which stays reachable if your subscription lapses. Uninstalling starts a 48-hour clock, after which Shopify instructs us to erase everything belonging to your shop, permanently. Export first if you want to keep it. Exporting stays available even if your subscription has lapsed: the buttons are on the Plan page, which is where the App sends you when it does.
6. Availability
We aim for high availability but do not offer a contractual uptime guarantee on these standard terms. The App depends on Shopify’s platform and on our hosting provider, and an outage in either can take it offline. We will give advance notice of planned maintenance where we reasonably can.
7. Third-party services
The App works with services run by others, each under its own terms: Shopify (your store, its checkout, Shopify B2B and Shopify Flow), Google Maps Platform (the address suggestions shown as an address is typed) and YouTube (the how-to videos in Training, which load only when you press play). We are not responsible for those services, and a change or outage on their side can affect the App.
8. Intellectual property
The App, its interface and its underlying code are owned by VerifiedHive. These terms grant you a limited, non-exclusive, non-transferable right to use the App for as long as your subscription is current, and nothing more. You may not copy, decompile or create derivative works from it.
9. Disclaimers and limitation of liability
The App is provided “as is”. To the fullest extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement.
We are not liable for indirect, incidental, special or consequential damages, or for lost profits, lost revenue or lost data. Our total liability arising out of or relating to the App is limited to the amount you paid us in the twelve months before the event giving rise to the claim.
Nothing here excludes liability that cannot lawfully be excluded, including for death or personal injury caused by negligence, or for fraud. Some jurisdictions do not allow certain exclusions, in which case the limitations above apply only so far as that jurisdiction permits.
10. Termination
You may stop using the App at any time by uninstalling it from your Shopify admin. We may suspend or terminate access if you materially breach these terms, if required by law, or if we discontinue the App, in which case we will give reasonable notice and a window to export your data.
11. Changes to these terms
We may revise these terms. Material changes are announced in the App at least 30 days before they take effect, and continuing to use the App after that means you accept them. The “last updated” date at the top of this page always reflects the version in force.
12. Governing law
These terms are governed by the laws of the State of Ohio, United States, without regard to conflict-of-laws rules, and the courts of the State of Ohio, United States have exclusive jurisdiction over disputes arising from them. This does not deprive a consumer of the protection of mandatory law in their country of residence.
